Rosa A. Shirley, Esq. Joins Theodora Oringher PC

Theodora Oringher is pleased to welcome Rosa A. Shirley as an associate attorney in the Firm’s Orange County Office on Monday, January 27.

Rosa is a seasoned corporate, transactional and restructuring attorney who represents clients in a variety of industries including energy, shipping, restaurant, finance, and agriculture, but with a particular focus on healthcare. Her experience ranges from entity and business formation and general corporate governance matters; advising sellers and purchasers in merger and acquisition transactions, counseling them from the inception of a deal through negotiation of terms and closing; capital raises; general business contract negotiations and debt management; financing and commercial restructuring and reorganizations including complex corporate domestic (Chapter 11) and non-US (Chapter 15); through cross-border transactions, insolvencies and acquisitions.

Rosa’s particular emphasis on the healthcare industry reflects her first-hand experience as a physical therapist in diverse healthcare settings such as out-patient clinics, acute care hospitals, ambulatory surgery centers, rehabilitation centers, skilled nursing facilities, nursing homes, and home health prior to her legal career and provide her with valuable insight into the industry.

She has advised hospitals and hospital systems, physician practices, laboratories, surgery centers, pharmacies, cannabis dispensaries and manufacturers, and investors in the healthcare space, among others, at every stage of their business life cycle.

Prior to joining the Firm, Rosa was with Nelson Hardiman, LLP in L.A. and with Baker McKenzie LLP in Dallas, Texas.

Rosa received her JD from Southern Methodist University in Dallas, Texas in 2006, and her BS in Physical Therapy from the University of Santo Tomas in Manila, Philippines in 1990.
